End-User License Agreement (EULA)

This End-User License Agreement is a legal agreement between you and NEED4SEAT, which operates this website and the NEED4SEAT software. This agreement governs your acquisition and use of the NEED4SEAT software directly from NEED4SEAT or indirectly through an authorized reseller or distributor.

Please read this agreement carefully before completing the installation process and using the NEED4SEAT software. It provides a license to use the software and contains warranty information and liability disclaimers. If you register for a free trial of the software, this agreement will also govern that trial. By installing or using the software you are confirming your acceptance of it and agreeing to become bound by these terms. The terms also apply to any updates, supplements, internet-based services and support services for the software, unless other terms accompany those items on delivery.

License grant

NEED4SEAT hereby grants you a personal, non-transferable, non-exclusive licence to use the software on your devices in accordance with the terms of this agreement. You are permitted to load the software onto a device under your control, and you are responsible for ensuring your device meets the minimum requirements of the software.

You are not permitted to:

• edit, alter, modify, adapt, translate or otherwise change the whole or any part of the software, nor permit the whole or any part of it to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the software or attempt to do any such things;
• reproduce, copy, distribute, resell or otherwise use the software for any commercial purpose;
• allow any third party to use the software on behalf of or for the benefit of any third party;
• use the software in any way which breaches any applicable local, national or international law;
• use the software for any purpose that NEED4SEAT considers is a breach of this agreement.

Intellectual property and ownership

NEED4SEAT shall at all times retain ownership of the software as originally downloaded by you and all subsequent downloads of the software by you. The software, and the copyright and other intellectual property rights of whatever nature in it, including any modifications made thereto, are and shall remain its property. NEED4SEAT reserves the right to grant licences to use the software to third parties.

Termination

This agreement is effective from the date you first use the software and shall continue until terminated. You may terminate it at any time upon written notice. It will also terminate immediately if you fail to comply with any term of this agreement. Upon such termination, the licenses granted will immediately terminate and you agree to stop all access and use of the software. The provisions that by their nature continue will survive any termination.

Cancellation policy

The cancellation policy is very simple. If you are not satisfied with NEED4SEAT you can give notice at any time while your subscription is still active and the money for your current subscription period will be refunded. In that case your license will be disabled.

Limitation of liability

NEED4SEAT will not be liable to you for any financial or reputational loss. In particular it does not take responsibility for losses due to prohibited use of the software. Please be advised that there are poker sites where the use of NEED4SEAT or similar software is prohibited. NEED4SEAT is not responsible for the measures these sites take against prohibited use of software, and some sites may freeze your account and funds.

Governing law

This agreement, and any dispute arising out of or in connection with it, shall be governed by and construed in accordance with the laws of Germany.

Changes to the agreement

You can review the most current version of this agreement at any time on this page. NEED4SEAT reserves the right, at its sole discretion, to update, change or replace any part of the agreement by posting updates and changes to this website. It is your responsibility to check this website periodically for changes. Your continued use of or access to the software following the posting of any changes constitutes acceptance of those changes.
